HAMILTON, Ontario, Feb. 26, 2019 — Reliq Health Technologies Inc. (TSXV:RHT or OTCQB:RQHTF) (“Reliq” or the “Company“), a technology company that develops innovative mobile health (mHealth) and telemedicine solutions for the community-based healthcare market, today issued the following statement.
On January 2019, Reliq Health Technologies Inc. served actions against Stephen Samson, Boby Deveros, Claudio Damaso, George Rayner, Shelby Neal, Accuhealth Technologies LLC, Evelyn Technologies LLC, and Evelyn Technologies Canada Inc. in the Ontario Superior Court of Justice, the Superior Court of the State of Delaware, and another court (under seal). The defendants are former employees of the Company as well as various individuals associated with the former employees (altogether, the “Individuals”). The Company’s claims pertain to, among other things, misrepresentation, fraudulent conduct and inducing breach of contract by the Individuals, relating to events that resulted in the restatement of the Company’s financial statements on October 16, 2019. The defendants in one of the actions have filed a motion to dismiss based on Anti-SLAPP legislation. The Company believes that the motion to dismiss is without merit, and intends to both vigorously defend the motion and continue to prosecute its claims against all defendants.
